These are the general terms and conditions of Sauerborn and Associates Ltd ("Sauerborn and Associates") that apply to all services we provide unless otherwise stated. This is an Agreement for Business Services between two knowledgeable and sophisticated business Parties. The services are not intended for consumer, personal or household purposes.
BY USING THIS WEBSITE OR UTILIZING OUR SERVICES, YOU AGREE TO BE BOUND BY THE TERMS OF THESE TERMS AND CONDITIONS. ANY USERS WHO DO NOT AGREE WITH THESE TERMS SHOULD NOT USE THIS WEBSITE OR UTILIZE OUR SERVICES.
1. Definitions
1.1 Except where otherwise agreed the following terms and conditions apply to all work carried out by Sauerborn and Associates for all its clients.
1.2 "We", "Us", "Our" and "Sauerborn and Associates" will be used for Sauerborn and Associates Ltd.
1.3 "You", "Your", "Your Company" and "Directors" will be used for the client.
1.4 The expression "Parties" will be used for Sauerborn and Associates and the client.
1.5 The expression "Agreement" means these Terms and Conditions.
1.6 The expression "our website" refers to sebsauerborn.com and all associated websites.
1.7 "Charges" means the fees, expenses and charges set out on our website as amended from time to time subject to notifying you on service renewal. It may also mean the fees, expenses and charges individually agreed by you.
1.8 "Commencement Date" means the date from which the contract becomes effective.
1.9 "Confidential Information" means secret or confidential commercial, financial, marketing, technical or other information, know-how, trade secrets and other information in any form or medium whether disclosed orally or in writing before or after the date of this Agreement, together with any reproductions of such information in any form or medium or any part(s) of this information.
1.10 "Force Majeure" means any event outside the reasonable control of either party affecting its ability to perform any of its obligations (other than payment) under this Agreement including act of God, fire, flood, lightning, war, revolution, act of terrorism, riot or civil commotion.
1.11 "Intellectual Property" means any patent, copyright, database right, moral right, design right, registered design, trade-mark, service mark, domain name, know-how, utility model, unregistered design or, where relevant, any application for any such right, or other industrial or intellectual property right subsisting anywhere in the world.
1.12 "Services" means the performance of the services whose scope is set out in these terms.
1.13 A copy of the current terms and conditions is always available on our website. We reserve the right to alter these terms and conditions at any time and will update the version date on our website.
2. General Provisions
2.1 By using the website or otherwise utilizing our Services, you represent that you are at least eighteen (18) years old, have read and understand this Agreement, and that you agree to be bound by it. This Agreement is also subject to the Privacy Policy, which also governs your use of the website and the Services.
2.2 We are not responsible if information made available on the website or via the Services is not accurate, complete, or current. The website and Services are provided for general information only and should not be relied upon as the sole basis for making decisions without consulting primary, more accurate, more complete, or more timely sources of information. This includes but is not limited to taxation, financial, and/or legal decisions. We are not acting as legal or financial advisors or accountants. 2.3 We may modify, add to, suspend, or delete this Agreement in whole or in part at any time, with such modifications being immediately effective upon posting to the website. Your continued use of the website and Services after any modification constitutes acceptance of the modification.
3. Services
3.1 Sauerborn and Associates provides advisory services in the areas of international tax strategy, residency and relocation planning, Plan B structuring, and ongoing advisory retainers. The specific scope of services will be agreed in writing prior to commencement.
3.2 We reserve the right to refuse service to anyone for any reason at any time.
3.3 We do not provide legal or accounting services. Our services are advisory in nature. You are responsible for engaging qualified legal and accounting professionals in your jurisdiction.
4. Fees and Payment
4.1 Fees are as agreed in writing prior to commencement of services. All fees are due in advance unless otherwise agreed.
4.2 All fees are non-refundable once services have commenced unless otherwise agreed in writing.
4.3 We reserve the right to suspend services in the event of non-payment.
5. Confidentiality
5.1 Both parties agree to keep confidential all Confidential Information received from the other party and to use such information only for the purposes of this Agreement.
5.2 This obligation of confidentiality does not apply to information that is or becomes publicly available through no fault of the receiving party, or that is required to be disclosed by law or regulatory authority.
6. Intellectual Property
6.1 All content on this website, including but not limited to text, graphics, logos, images, and software, is the property of Sauerborn and Associates Ltd and is protected by applicable intellectual property laws.
6.2 You may not reproduce, distribute, or create derivative works from any content on this website without our express written permission.
7. Limitation of Liability
7.1 To the fullest extent permitted by law, Sauerborn and Associates Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
7.2 Our total liability to you for any claim arising out of or relating to these terms or our services shall not exceed the total fees paid by you to us in the three months preceding the claim.
8. Your Obligations
8.1 You undertake to ensure that all information or documentation that you provide to us is complete, true and accurate, and relevant to you and your affairs.
8.2 You agree to indemnify, defend, and hold us harmless in respect of any losses or damages suffered by us as a result of any misrepresentations or dishonest and/or fraudulent behaviour on your part.
8.3 You must ensure that you keep us informed of any change of address, telephone or email. Failure to do so may result in communications going astray for which we cannot be held responsible.
9. Termination
9.1 Either party may terminate this Agreement by giving thirty (30) days written notice to the other party.
9.2 We may terminate this Agreement immediately and without notice if you breach any material term of this Agreement, fail to make payment when due, or if we have reason to suspect that you are engaged in unlawful activities.
10. Force Majeure
10.1 Neither party shall be in breach of this Agreement or otherwise liable to the other by reason of any delay in performance or non-performance of any of its obligations due to Force Majeure.
11. Third-Party Links
11.1 This website may contain links to third-party websites. These links are provided for your convenience only. We have no control over the contents of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.
12. General
12.1 This Agreement contains the entire agreement between the parties in relation to its subject-matter and supersedes all prior agreements, representations, and understandings.
12.2 If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
12.3 This Agreement shall be governed by and construed in accordance with applicable law. Any disputes shall be subject to the exclusive jurisdiction of the courts of the relevant jurisdiction.
